Definitions

Customer means any business, company, organisation, or professional entity engaging with the Company.
Goods means any products, equipment, software, or materials supplied by the Company.
Order means a purchase order, quotation acceptance, or instruction to supply Goods.
RMA means Return Merchandise Authorisation issued by the Company.
Working Day means Monday to Friday, excluding bank holidays in England and Wales.

Basis of Sale

All sales are conducted strictly on a B2B basis. Consumer protection legislation does not apply.

These Terms & Conditions apply to all Orders and override any terms proposed by the Customer unless expressly agreed in writing by the Company.

No Order is binding until accepted in writing or Goods are dispatched.

Product & Service Information

Any product descriptions, specifications, or technical information provided on this website are for guidance only and do not constitute a contractual offer. Final details are confirmed at quotation or order stage.

Pricing and Payment

All prices are exclusive of VAT, delivery charges, duties, and taxes unless stated otherwise.

Payment terms are as agreed at the time of Order. The Company reserves the right to suspend deliveries or cancel Orders where payment is overdue.

Delivery

Delivery dates are estimates only and time is not of the essence.

Risk in the Goods passes to the Customer on delivery. The Company is not liable for delays caused by manufacturers, carriers, or circumstances beyond reasonable control.

Inspection and Acceptance

The Customer must inspect Goods immediately upon receipt.

Any shortages, transit damage, or incorrect supply must be reported within 7 calendar days of delivery. Failure to notify within this period constitutes acceptance of the Goods.

Returns, Refunds and RMA Procedure

All returns require prior approval and a valid RMA number. Goods returned without an authorised RMA may be rejected and returned at the Customer’s cost.

RMA requests must be submitted within 7 calendar days of delivery and must include order reference, product details, and reason for return. Approved returns must be received within 14 days of RMA approval.

Returned Goods are subject to inspection and, where applicable, functional testing. Inspection and testing may take up to 10 working days for standard products and up to 20 working days for specialist or configured items. No refund, replacement, or credit will be issued until inspection is complete.

The following Goods are non-returnable unless confirmed faulty:

  • Customised, configured, or made-to-order products

  • Special-order or non-stock items

  • Software, licences, or sealed items once opened

  • Goods damaged due to misuse, incorrect installation, unauthorised modification, or unsuitable operating conditions

Where Goods are confirmed faulty, the Company may, at its discretion, repair, replace, or refund in accordance with the Sale of Goods Act 1979.

Manufacturer Pass-Through Warranty

Where Goods include a manufacturer’s warranty, that warranty is provided strictly on a pass-through basis. All claims are subject to the manufacturer’s terms, diagnostic procedures, and timescales.

The Company does not extend, replace, or modify manufacturer warranties and accepts no liability for delays caused by manufacturer testing or repair processes.

If a manufacturer determines that Goods are not faulty or are outside warranty scope, the return may be treated as a non-faulty return and subject to charges.

Restocking Fees

Approved non-faulty returns may be subject to a restocking fee deducted from any refund or credit:

  • 15% for unopened stocked items

  • 25% for opened or handled items

  • Up to 40% for Goods requiring re-testing, re-packing, or refurbishment

Refunds

Approved refunds or credit notes are issued within 14 days following acceptance after inspection. Refunds may be issued to the original payment method or as a credit note, at the Company’s discretion.

Original delivery charges are non-refundable unless the return is due to Company error.

Return Shipping

Return carriage is the Customer’s responsibility unless Goods are confirmed faulty or incorrect. All returns must be sent using a tracked and insured service. The Company accepts no liability for Goods lost or damaged in transit.
